Associate Corporate Counsel

Key Responsibilities

• Review and negotiate government contracts involving Federal Government customers, including technology licensing arrangements.
• Advise AWS sales and business teams on Federal Government procurement regulations, including the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).
• Develop and lead AWS litigation strategy at Government Accountability Office (GAO), the Court of Federal Claims (COFC), and Boards of Contract Appeals.
• Analyze and address contract compliance issues to ensure AWS meets all federal requirements and contractual obligations.
• Collaborate with cross-functional teams to develop legal strategies that balance business objectives with regulatory requirements.

Requirements & Tech Stack

• Juris Doctor and membership in one state bar or equivalent.
• Knowledge of government contracting laws, rules and regulations including, but not limited to, commercial items contracting requirements, Federal Acquisition Regulations (FAR), and Defense Federal Acquisition Regulation (DFAR).

Qualifications

• 2+ years of post bar admission legal experience.
• Preferred: Security Clearance: Active U.S. Government TS/SCI security clearance or the ability to obtain a TS/SCI security clearance.
• Preferred: Experience with technology licensing agreements.
