About the Role
This role is for a qualified Company Secretary (CS) focused on Mergers & Acquisitions (M&A), Corporate Secretarial, and Transaction Advisory/Due Diligence.
Key Responsibilities
- Handle corporate and secretarial due diligence for acquisitions, investments, mergers, and strategic transactions.
- Support Mergers & Acquisitions (M&A), including transaction structuring, documentation, regulatory compliances, and deal execution.
- Review corporate records, statutory registers, ROC filings, board/shareholder minutes, and other legal/secretarial documents.
- Identify corporate, legal, regulatory, and compliance risks during due diligence.
- Assist in transaction structuring, preparation/review of transaction documents, and coordination with legal advisors.
- Manage ROC/MCA, Companies Act, FEMA, SEBI, and other applicable regulatory compliances in relation to transactions.
- Coordinate with internal teams, clients, auditors, lawyers, financial advisors, and other stakeholders during transactions.
- Support mergers, amalgamations, demergers, restructuring, share transfers, investments, and related corporate actions.
- Assist with post-merger integration, including statutory, corporate governance, and compliance requirements.
- Prepare due diligence reports, compliance reports, transaction summaries, and presentations for senior management/investors.
